Attorney General Approves Prime Healthcare Services

February 27, 2007 (National City, CA) – The Office of Attorney General of the State of California yesterday approved the acquisition of Paradise Valley Hospital (PVH), a 301-bed acute care facility located in National City, CA by Prime Healthcare Services, Inc. (PHS) from Adventist Health.

PHS, a for-profit hospital management company, which owns and operates seven acute care facilities in Southern California has agreed to meet a number of conditions outlined by the Attorney General upon which the transaction is predicated. These include a commitment to continue the operations of the hospital, to maintain the entire existing patient care services including the Emergency Department and to continue the current levels of charity care at the hospital. PHS will maintain current behavioral health services at both the PVH and Bayview campuses. Substantially all of the employees will be offered employment by the new owner.

“Adventist Health has taken the most responsible action available by transferring PVH to a new owner who will continue its operations and invest in its future,” stated Robert Carmen, executive vice-president for Adventist Health and Chairman of the PVH Board. “We believe Prime Healthcare Services will best preserve the delivery of health care services for the community.”

“PHS will face with enthusiasm and vigor the challenges of turning around the losing operations of the hospital with its proven physician-driven and patient-focused medical management protocols,” said Prem Reddy, MD, FACC, Chairman of the Board of PHS. “We will invest the necessary capital to improve the healthcare delivery in the underserved and underprivileged communities of National City and the surrounding South Bay area of San Diego County.”

In keeping with its mission, Adventist Health has agreed to give $3 million to a specially created fund to be held by the San Diego Foundation. In addition, Adventist Health intends to maintain its presence in the community by continuing to operate home care services in Bonita and further develop plans with Generations, Inc. for Paradise Village, a senior living community adjacent to Paradise Valley Hospital.
