Court Approves Prime Healthcare Foundation’s Acquisition of Southern Regional
The United States Bankruptcy Court for the Northern District of Georgia approved Prime Healthcare Foundation's Asset Purchase Agreement for Southern Regional Medical Center, and issued an order to proceed with the acquisition on Tuesday, October 27.
In late July, Prime Healthcare Foundation, an affiliate of Prime Healthcare Services and an award-winning non-profit hospital system operating seven hospitals in two states, submitted a Letter of Intent to purchase most of Southern Regional's assets. Prime Healthcare Foundation will operate the hospital under a management services agreement until the sale is completed in early December.
The Prime Healthcare Foundation will continue to work with the Georgia Attorney General's office, which must review and approve the sale of a non-profit healthcare provider. A public forum, required in the Attorney General review process, is currently scheduled for November 10.
In addition, the transaction will be reviewed by the Georgia Department of Community Health (DCH).
Prime Healthcare Foundation has committed to investing at least $50 million in capital improvements in the hospital over the next five years, including equipment replacement and cosmetic improvements, operational improvements, Emergency Department improvements, and more than $1 million in recruitment of physicians.
"We are grateful for Prime Healthcare's commitments to invest in Southern Regional," said Jim Adams, Southern Regional's Board Chairman. "They are bringing a comprehensive approach to reviving, improving and preserving the health system, including investments in capital improvements and process improvements, both of which will improve patient experience and Southern Regional's competitive position in the Southern Crescent."
Prime Healthcare Services, and the non-profit Prime Healthcare Foundation, employ more than 40,000 people and own and operate 38 acute care hospitals in 11 states.
